• note creation and management
• syncing and cloud storage
• collaboration tools
• AI-powered functionality
• desktop applications
• workspace management
• file uploads
• integrations with third-party platforms

Features may change at any time without notice.

To access certain features, you may be required to create an account.

You agree to:

• maintain accurate account information
• keep credentials confidential
• notify us of unauthorised access
• accept responsibility for activity under your account

We may suspend or terminate accounts that violate these Terms or present security, legal, or operational risks.

You must not:

• violate laws or regulations
• upload unlawful content
• distribute malware or malicious code
• interfere with platform security
• attempt unauthorised access
• scrape or harvest data without permission
• abuse APIs or infrastructure
• infringe intellectual property rights
• impersonate others
• distribute spam
• use Note Space to harass, threaten, or abuse others
• exploit AI systems in harmful or unlawful ways
• use the Services to develop competing products through unauthorised automated extraction

We may investigate and take action against violations, including suspension, termination, reporting to authorities, or legal action.

You retain ownership of content you upload or create through Note Space.

By submitting content, you grant us a worldwide, non-exclusive, royalty-free licence to:

• host
• store
• process
• transmit
• display
• reproduce

your content solely for the purpose of operating, securing, improving, and providing the Services.

You represent that:

• you have rights to your content
• your content does not violate laws or third-party rights
• your content does not contain unlawful or harmful material

We reserve the right to remove content that violates these Terms or creates risk for users or the platform.

Note Space may provide AI-powered functionality.

You acknowledge and agree that:

• AI outputs are machine-generated
• outputs may contain inaccuracies, hallucinations, bias, or offensive material
• AI responses are not guaranteed to be correct, complete, or reliable
• AI-generated content does not constitute professional advice
• you are solely responsible for reviewing and validating outputs before use

You must not rely on AI outputs for:

• legal advice
• medical advice
• financial advice
• safety-critical decisions
• emergency situations
• regulatory compliance

We may use third-party AI providers to deliver AI functionality.

The Windows and macOS applications may:

• cache files locally
• store offline content
• integrate with operating system functionality
• request system permissions
• process local files selected by users

You are responsible for:

• securing your devices
• maintaining backups
• controlling physical access to your systems
• reviewing permissions granted to the applications

We are not responsible for:

• local device compromise
• malware infections
• unauthorised device access
• third-party software conflicts
• operating system failures

Certain features may require paid subscriptions.

You agree that:

• fees may be charged in advance
• subscriptions may renew automatically unless cancelled
• taxes may apply
• pricing may change with reasonable notice

Failure to pay fees may result in:

• suspension
• restricted functionality
• account termination

Unless required by law, fees are non-refundable.

Free plans, trials, beta programs, and promotional access may:

• have limited functionality
• be modified or revoked at any time
• include reduced storage or usage limits

All rights, title, and interest in Note Space, excluding user content, remain owned by us or our licensors.

• interfaces
• AI systems
• design elements
• source code
• graphics
• workflows
• infrastructure

You may not:

• reverse engineer the Services except where prohibited by law
• copy or redistribute proprietary materials
• use our branding without permission

If you provide suggestions, ideas, or feedback, you grant us the unrestricted right to use that feedback without compensation or attribution.

Note Space may integrate with third-party services.

We are not responsible for:

• third-party platforms
• APIs
• infrastructure
• outages
• data handling practices
• security practices
• content provided by third parties

Third-party services are governed by their own terms and policies.

We do not guarantee:

• uninterrupted service
• permanent data availability
• error-free functionality
• real-time syncing
• compatibility with all devices
• continuous uptime

Services may be interrupted due to:

• maintenance
• infrastructure failures
• provider outages
• internet disruptions
• security incidents
• force majeure events

You are responsible for maintaining backups of important data.

We implement commercially reasonable safeguards designed to protect the Services.

However:

• no system is perfectly secure
• unauthorised access may still occur
• internet transmissions are inherently risky
• vulnerabilities and attacks may occur

You acknowledge these risks when using the Services.

We may suspend or terminate access immediately if:

• you violate these Terms
• your use creates security or legal risk

• your account is inactive for extended periods
• payment obligations are not met

You may stop using the Services at any time.

Upon termination:

• licences granted to you end immediately
• some data may remain in backups or archives temporarily
• certain provisions of these Terms survive termination

You may not use Note Space in violation of:

• export laws
• sanctions laws
• embargoes
• trade restrictions

You represent that you are not prohibited from using the Services under applicable law.

To the maximum extent permitted by law, we are not liable for:

• indirect damages
• consequential damages
• lost profits
• lost revenue
• lost business opportunities
• data loss
• service interruptions
• security incidents
• device compromise
• AI-generated inaccuracies
• third-party failures
• loss resulting from reliance on the Services

Our total aggregate liability relating to the Services shall not exceed the greater of:

• the amount paid by you to us during the previous 12 months, or
• AUD $100

Nothing excludes liability that cannot legally be excluded under applicable law.

You agree to indemnify and hold harmless New Horizon Code PTY LTD, its directors, employees, contractors, affiliates, and partners from claims, damages, liabilities, and expenses arising from:

• your use of the Services
• your content
• your violation of these Terms
• your violation of laws or third-party rights

We may transfer rights, obligations, or assets related to Note Space during:

• mergers
• acquisitions
• restructures
• insolvency proceedings
• financing transactions
• asset sales

These Terms are governed by the laws of Queensland, Australia.

You agree to the exclusive jurisdiction of the courts of Queensland, Australia, unless otherwise required by applicable consumer laws.

We may update these Terms at any time.

Changes become effective upon publication unless otherwise stated.

Continued use of Note Space after updates constitutes acceptance of the revised Terms.

To the maximum extent permitted by law:

• the Services are provided “as is” and “as available”
• we disclaim all warranties, express or implied
• we do not guarantee uninterrupted, secure, or error-free operation
• we do not guarantee that content will never be lost, corrupted, delayed, or inaccessible
• we do not warrant AI outputs will be accurate, safe, lawful, or suitable for any purpose

Use of Note Space is entirely at your own risk.
